These Terms of Service ("Terms") constitute a legally binding agreement between you and Hundred Solutions AS ("Company," "we," "our," or "us") regarding your use of the dversi platform and related services. By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the service.

dversi is an AI-powered business automation platform that enables users to automate business processes through conversational AI interfaces. The service includes:

• AI conversation and automation capabilities
• Workflow creation and management tools
• Integration with third-party business systems
• Data processing and analytics features
• User account and organization management

4.1 Account Creation

To use dversi, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

4.2 Account Responsibility

• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized access
• You must provide accurate and up-to-date information
• You may not share your account with others

5.1 Permitted Uses

You may use dversi for legitimate business automation purposes in compliance with applicable laws and these Terms.

5.2 Prohibited Uses

You may not use dversi to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with the service's operation or security
• Use the service for competitive intelligence gathering
• Reverse engineer or attempt to extract source code

6.1 Service Plans

• Free Plan: Limited features with usage restrictions
• Professional Plan: Advanced features with higher usage limits
• Enterprise Plan: Full features with custom configurations

6.2 Billing and Payment

• Paid plans are billed in advance on a monthly or annual basis
• Prices are currently displayed in USD due to payment processor limitations
• For Norwegian businesses: USD prices include 25% Norwegian MVA (VAT)
• Norwegian businesses will receive proper VAT invoices in NOK for accounting records
• Payment is due immediately upon invoice
• We may suspend service for non-payment after 30 days

Norwegian VAT Handling

Subscription prices are displayed in USD for international compatibility. For Norwegian businesses, these USD prices already include the required 25% Norwegian MVA (VAT). You will receive compliant Norwegian VAT invoices in NOK for your accounting and tax reporting requirements. This arrangement ensures full compliance with Norwegian tax regulations and provides transparent, all-inclusive pricing.

6.3 Refunds and Cancellation

You may cancel your subscription at any time. Refunds are provided on a case-by-case basis in accordance with Norwegian consumer protection laws.

Our processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using dversi, you consent to data processing as described in the Privacy Policy.

7.1 Data Ownership

• You retain ownership of your data and content
• We process your data only as necessary to provide the service
• You may export or delete your data at any time
• We implement appropriate security measures to protect your data

8.1 Our Rights

dversi and all related technology, software, and content are owned by Hundred Solutions AS and protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use dversi for your business purposes.

8.3 User Content

You retain ownership of content you create using dversi. You grant us a license to process this content solely to provide the service.

9.1 Service Level

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects service availability.

9.2 Support

• Free Plan: Community support
• Professional Plan: Email support with priority response
• Enterprise Plan: Dedicated support with SLA guarantees

To the maximum extent permitted by Norwegian law:

• Our liability is limited to the amount paid for the service
• We are not liable for indirect, consequential, or punitive damages
• Nothing in these Terms excludes liability for death, personal injury, or fraud

You agree to indemnify and hold harmless Hundred Solutions AS from claims arising from your use of dversi, violation of these Terms, or infringement of third-party rights.

12.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion features in the service.

12.2 Termination by Us

We may terminate or suspend your account for violation of these Terms, non-payment, or other legitimate business reasons with appropriate notice.

12.3 Effect of Termination

Upon termination, your access to dversi will cease, and we may delete your data in accordance with our data retention policies.

These Terms are governed by Norwegian law. Any disputes will be resolved in the courts of Oslo, Norway, subject to applicable consumer protection laws.

We may update these Terms periodically. We will notify you of material changes via email or through the service. Continued use after changes constitutes acceptance of the updated Terms.
